1. License Grant

ContractHulk.com ("Licensor") hereby grants to John Doe (Developers Inc.) ("Licensee") a non-exclusive, non-transferable license to use the Employment Contract document prepared for the position of Backend Developer (the "Licensed Document"). This license is restricted to use within a single company or business entity owned or operated by the Licensee. The Licensee is licensed to modify and use the Licensed Document in the ordinary course of their business activities and reuse it for multiple employees.

2. License Term

This License Agreement is entered into as of May 7, 2026. The license to use the Licensed Document shall be valid for a period of ten (20) years from the Effective Date. The terms and conditions of this License Agreement, including all restrictions, obligations, and intellectual property provisions contained herein, shall extend indefinitely and survive the expiration of the license period.

3. Restrictions on Use

The Licensee is strictly prohibited from engaging in any of the following activities with respect to the Licensed Document:

Resale, sublicensing, or redistribution of the Licensed Document, whether in its original or modified form, to any third party. Posting, publishing, or otherwise making the Licensed Document available online, on any website, file-sharing platform, digital repository, or any publicly accessible medium. Public display, distribution, or dissemination of the Licensed Document in any form whatsoever. Use of the Licensed Document in more than one (1) company or business entity without obtaining a separate license for each additional entity.

4. Modifications to the Employment Contract

The Licensee may modify, amend, alter, or otherwise change the Licensed Document to suit the specific needs of their business operations. Any and all modifications made to the Employment Contract by the Licensee shall not nullify, void, or otherwise affect the validity or enforceability of this License Agreement. This License Agreement shall remain in full force and effect regardless of any changes made to the Licensed Document by the Licensee.

5. Intellectual Property and Reservation of Rights

ContractHulk.com reserves any and all rights, title, and interest in and to the Licensed Document, including without limitation all intellectual property rights therein. Nothing in this License Agreement shall be construed as transferring any ownership rights in the Licensed Document to the Licensee. The Licensee acknowledges that the license granted herein provides only a limited right to use, and does not convey ownership of, the Licensed Document.

6. Disclaimer

The Licensed Document is provided "as is" without warranty of any kind, express or implied. ContractHulk.com does not provide legal advice. The Licensee is advised to consult with a qualified attorney licensed in the applicable jurisdiction before using the Licensed Document in any employment relationship. Otherwise use thereof is at the Licensee's sole risk. ContractHulk.com does not accept any liability for any damages or losses arising from the use of the Licensed Document.

7. Termination of Rights

Any violation of the restrictions set forth in Section 3 of this License Agreement shall result in the immediate and automatic termination of the license granted herein, without notice or opportunity to cure. Violation of the ContractHulk.com Terms of Service shall also result in immediate termination of this License Agreement. ContractHulk.com may digitally determine based on complex algorithms whether a violation has occurred from forensic examination of evidence such as a publicly available copy of the Licensed Document. Upon termination, the Licensee shall immediately cease all use of the Licensed Document and destroy all copies in their possession.

8. Exceptions for Legal Professionals or HR Outsourcing Providers

ContractHulk.com recognizes that legal or HR professionals may require usage rights for employment contract documents. Therefore, licensed attorneys or HR outsourcing providers are granted one exception to the restrictions outlined in Section 3, allowing them to use the Licensed Document then transfer its use to single client their practice. After edits to the contract, license rights mentioned herein may be transferred only once to the client name entered above. After which the legal or HR professionals no longer has any rights to use the contract. The client then becomes the licensee and is bound by all terms and restrictions of this agreement.

9. Applicable Jurisdiction

This contract is effective in the jurisdiction of the Licensee, and is governed by the laws of that jurisdiction. This contract shall be governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising out of or relating to this License Agreement shall be resolved exclusively in the state or federal courts located within New York, New York.

10. Competitor Restrictions

Direct competitors, including but not limited to LegalZoom.com, RocketLawyer.com, or any entity that offers document generation services, legal template creation, contract automation tools, legal technology solutions, or substantially similar services, as well as employees, contractors, consultants, agents, and affiliates of such entities, and individuals acting on their behalf, are strictly barred from purchasing or viewing this contract. If you purchased this contract and work for a competitor, you are in direct violation of the Terms of Service and this License Agreement. You must delete the file immediately.
