1. License Grant

ContractHulk.com ("Licensor") hereby grants to John Doe (Developers Inc.) ("Licensee") a limited, non-exclusive, non-transferable (except as provided in Section 8) license to use the Employment Contract document prepared for the position of Backend Developer (the "Licensed Document"). This license is restricted to use within a single company or business entity owned or operated by the Licensee. The Licensee may modify the Licensed Document and use it in the ordinary course of the Licensee's business, including reuse for multiple employees within that single entity. The Licensee may make a reasonable number of internal copies of the Licensed Document (including backups) solely to support such permitted use.

2. License Term

This License Agreement is entered into as of the Effective Date. The license to use the Licensed Document is valid for a period of ten (10) years from the Effective Date (the "License Term").

Expiration of the License Term does not affect the validity of any employment contract executed with an employee during the License Term; however, the Licensee may not use the Licensed Document to create new contracts after expiration. The restrictions, intellectual property provisions, and disclaimers of this License Agreement survive the expiration or termination of the License Term.

3. Restrictions on Use

The Licensee is strictly prohibited from engaging in any of the following activities with respect to the Licensed Document, in original or modified form:

• Resale, sublicensing, or redistribution of the Licensed Document to any third party, except as expressly permitted in Section 8.
• Posting, publishing, or otherwise making the Licensed Document available online, on any website, file-sharing platform, digital repository, or any publicly accessible medium.
• Public display, distribution, or dissemination of the Licensed Document in any form, except that providing an executed employment contract to the employee who is a party to it, or to the Licensee's professional advisors, payroll providers, regulators, or courts as reasonably required, is not a violation of this Section.
• Use of the Licensed Document in more than one (1) company or business entity without obtaining a separate license for each additional entity.
• Creating derivative works of the Licensed Document for resale, distribution, or making available to any third party, in any form.
• Providing the Licensed Document, in whole or in part, as input to any artificial intelligence, machine learning, or automated document-generation system for the purpose of reproducing, imitating, modifying, or creating derivative templates or documents for resale, distribution, or making available to any third party. For clarity, use of software tools (including AI-assisted editing tools) solely to make internal modifications for the Licensee's own permitted use under Section 4 is not prohibited by this clause.

4. Modifications to the Employment Contract

The Licensee may modify, amend, alter, or otherwise change the Licensed Document to suit the specific needs of the Licensee's business operations. Modifications made by the Licensee shall not nullify, void, or otherwise affect the validity or enforceability of this License Agreement, which remains in full force and effect regardless of any such changes. Licensor bears no responsibility or liability for any modifications made by the Licensee or for the Licensed Document as modified.

5. Intellectual Property and Reservation of Rights

Licensor reserves all rights, title, and interest in and to the Licensed Document, including without limitation all intellectual property rights therein. Nothing in this License Agreement shall be construed as transferring any ownership rights in the Licensed Document to the Licensee. The Licensee acknowledges that the license granted herein provides only a limited right to use, and does not convey ownership of, the Licensed Document.

6. Disclaimer; No Legal Advice

The Licensed Document is provided "as is" and "as available" without warranty of any kind, express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, legal compliance, or non-infringement, to the fullest extent permitted by applicable law. Licensor is not a law firm and does not provide legal advice; no attorney-client relationship is created by this License Agreement or by use of the Licensed Document. The Licensee is advised to consult a qualified attorney licensed in the applicable jurisdiction before using the Licensed Document in any employment relationship. Use of the Licensed Document is at the Licensee's sole risk, and Licensor accepts no liability for any damages or losses arising from its use, to the fullest extent permitted by applicable law. Any liability of Licensor, if any, is subject to the limitation of liability provisions of the ContractHulk.com Terms of Purchase and Terms of Service, applies in the aggregate per Licensed Document regardless of the number of employees hired under it, employment contracts executed from it, copies made of it, or uses of it, and, following any transfer under Section 8, may be asserted only by the then-current Licensee. Nothing in this Section excludes liability that cannot lawfully be excluded.

7. Termination of Rights

Any violation of the restrictions set forth in Section 3 shall result in the immediate and automatic termination of the license granted herein, without notice or opportunity to cure. This license also terminates automatically and immediately, without notice, if the payment for the Licensed Document is charged back, reversed, or refunded (other than a refund issued by Licensor under its Terms of Purchase), or if payment is incomplete or dishonored. A material violation of the ContractHulk.com Terms of Service shall also result in termination of this License Agreement. Licensor may determine that a violation has occurred based on reasonable evidence, including forensic examination of publicly available copies of the Licensed Document. Upon termination, the Licensee shall immediately cease all use of the Licensed Document and destroy all copies in the Licensee's possession or control; termination does not affect the validity of employment contracts executed with employees prior to termination.

8. Exception for Legal Professionals and HR Outsourcing Providers

Licensor recognizes that licensed attorneys and HR outsourcing providers may acquire the Licensed Document on behalf of a client. Such professionals are granted a single exception to the transfer restrictions in Section 3: after making edits appropriate for the client, the professional may transfer the license granted herein one (1) time, to the single client identified in the "License Transferred to Client" field above, on the date recorded. Upon transfer: (a) the client becomes the Licensee and is bound by all terms and restrictions of this License Agreement; and (b) the transferring professional retains no further rights to use the Licensed Document, except retention of copies as required by applicable professional, ethical, or record-keeping obligations.

9. Governing Law and Jurisdiction

This License Agreement shall be governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to this License Agreement shall be resolved in accordance with the dispute resolution provisions of the ContractHulk.com Terms of Service, which require binding individual arbitration administered by the American Arbitration Association under its Consumer Rules, except for matters eligible for small claims court. Notwithstanding the foregoing, Licensor may seek injunctive or other equitable relief for intellectual property violations, unauthorized redistribution, or competitor access violations in the state or federal courts located in New York County, New York, and the parties consent to the personal jurisdiction of such courts for that purpose. Nothing in this Section affects any mandatory rights the Licensee may have under the laws of the Licensee's own jurisdiction that cannot be waived by contract.

10. Competitor Restrictions

Entities that offer document generation services, legal template creation, contract automation tools, legal technology solutions, or substantially similar competing services, together with their employees, contractors, consultants, agents, and affiliates, and individuals acting on their behalf (collectively, "Competitors"), are not authorized to purchase or use the Licensed Document, and no license is granted to Competitors under this Agreement. Any purchase by a Competitor is void, constitutes a violation of the Terms of Service and this License Agreement, and requires the Competitor to immediately delete all copies of the Licensed Document.

11. Relationship to Other Terms

This License Agreement supplements the ContractHulk.com Terms of Service and Terms of Purchase, which are incorporated by reference. In the event of a conflict concerning use of the Licensed Document, this License Agreement controls.
